Terms of Service

The rules of engagement. Clear terms for a trusted partnership.

Effective Date: July 9, 2026. By using RFID Flow, you agree to these terms. Please read them carefully.

Agreement to Terms

By accessing or using RFID Flow (the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and RFID Flow ("Company", "we", "us", or "our").

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

If you do not agree to these Terms, you may not access or use the Service. Your continued use of the Service following any changes to these Terms constitutes acceptance of those changes.

Description of Service

RFID Flow is a cloud-based part tracking and management platform that uses RFID technology to provide real-time visibility into repair, maintenance, and manufacturing operations.

The Service includes:

  • Web-based application for tracking parts, zones, and work-in-progress
  • Real-time RFID scan processing and location tracking
  • Workflow automation engine for event-driven alerts and actions
  • Analytics dashboards and reporting tools
  • API access for system integrations
  • Related documentation and support resources

License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the subscription term.

This is a license, not a sale. You do not acquire any ownership rights in the Service. We retain all rights, title, and interest in and to the Service, including all intellectual property rights.

You may not:

  • Sublicense, sell, resell, transfer, or distribute the Service
  • Modify, adapt, or create derivative works based on the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Access the Service to build a competitive product or service
  • Use the Service beyond the scope of the license granted

User Accounts

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring all users under your organization comply with these Terms

Account Security Requirements

  • Passwords must be at least 8 characters with uppercase and number
  • Accounts are locked for 15 minutes after 5 failed login attempts
  • Session tokens expire after extended inactivity
  • Use a strong, unique password that you do not reuse elsewhere

Subscription & Payment

The Service is offered on a subscription basis. Subscription pricing is scoped to your deployment and set out in the order form or written quote you receive; the fees, part and user allowances, and billing cycle that apply to you are those stated there. By subscribing, you agree to pay the applicable fees for your subscription.

Billing Terms

  • Billing Cycle: Subscriptions are billed monthly or annually in advance
  • Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date
  • Payment Method: Fees are invoiced directly; accepted payment methods and payment terms are stated on your invoice or order form
  • Price Changes: We will provide 30 days notice before any price increases take effect
  • Taxes: Prices are exclusive of applicable taxes, which will be itemized on your invoice

Refund Policy

Subscription fees are non-refundable except as required by law. If you cancel your subscription, you will retain access until the end of your current billing period. No partial refunds are provided for unused time.

We may, at our sole discretion, provide refunds or credits in cases of:

  • Extended service outages
  • Technical issues that substantially impair your use of the Service
  • Duplicate charges or billing errors

Pilot & Evaluation

New customers typically begin with a scoped pilot rather than a self-serve trial. Where we agree to a pilot or evaluation period:

  • The scope, duration, fees, and success criteria of the pilot are set out in your order form or pilot agreement
  • Success criteria are agreed in writing before the pilot begins
  • Either party may decline to continue at the end of the pilot; if you do not continue, you owe nothing beyond the agreed pilot fees
  • On request, we will export your part records and scan history in a standard, machine-readable format
  • These Terms apply during any pilot or evaluation period

Pilot terms (fees, duration, and what happens to your data afterward) are always stated in writing in the pilot agreement, never implied.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the Service to store or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use automated means (bots, scrapers) to access the Service without our consent
  • Circumvent any usage limits, access controls, or security measures
  • Use the Service to send spam, unsolicited messages, or conduct phishing
  • Impersonate any person or entity or misrepresent your affiliation
  • Use the Service for any illegal, fraudulent, or deceptive purpose

Violation of the Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.

Data Ownership & Security

Your Data

You retain all rights to the data you input into the Service ("Customer Data"). By using the Service, you grant us a limited license to store, process, and display Customer Data solely for the purpose of providing and improving the Service.

We do not sell your data. We will never sell, rent, or share your Customer Data with third parties for marketing purposes. Your part records, part information, and operational metrics remain your exclusive property.

Data Security

We implement industry-standard security measures to protect your data:

  • Encryption in transit (TLS 1.2+) and at rest (AES-256)
  • Automated dependency and static-analysis security scanning on every code change
  • Access controls and role-based permissions
  • Managed backups provided by our infrastructure providers
  • Incident response procedures and breach notification

Data Export

You may export your Customer Data at any time through the Service's export features. Upon termination or expiration of your subscription, you will have 30 days to export your data before it is deleted.

Confidentiality

Each party agrees to protect the confidential information of the other party using the same degree of care it uses to protect its own confidential information, but no less than reasonable care.

"Confidential Information" includes Customer Data, business plans, technical information, pricing, and any information marked as confidential or that reasonably should be understood to be confidential.

Confidential Information does not include information that:

  • Is or becomes publicly available without breach of this agreement
  • Was rightfully known before receipt from the disclosing party
  • Is independently developed without use of confidential information
  • Is rightfully obtained from a third party without confidentiality restrictions

Intellectual Property

The Service, including its original content, features, functionality, and underlying technology, is and will remain the exclusive property of RFID Flow and its licensors.

The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Feedback: If you provide suggestions, ideas, or feedback about the Service, you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use and incorporate such feedback into the Service without any obligation to you.

Service Availability

We work to keep the Service available and use commercially reasonable efforts to minimize downtime. We do not commit to a specific uptime percentage, and we do not guarantee that the Service will be uninterrupted or error-free.

Scheduled maintenance is announced in advance when possible. Emergency maintenance may occur without notice for critical security issues.

The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control (including but not limited to internet service provider failures, natural disasters, or acts of government). We do not guarantee uninterrupted access.

Limitation of Liability

PLEASE READ THIS SECTION CAREFULLY. It limits our liability to you.

Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RFID FLOW BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or data corruption
  • Loss of goodwill or reputation
  • Business interruption or downtime costs
  • Cost of procurement of substitute services

Liability Cap

Our total liability under these Terms shall not exceed the greater of: (a) the total fees paid by you during the twelve (12) months immediately preceding the claim, or (b) one hundred U.S. dollars ($100).

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless RFID Flow, its officers, directors, employees, agents, and licensors from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Any Customer Data you submit to the Service
  • Your violation of applicable laws or regulations

We will provide you with prompt written notice of any such claim and reasonably cooperate with your defense. You may not settle any claim without our prior written consent.

Dispute Resolution

ARBITRATION NOTICE: This section contains a binding arbitration clause and class action waiver. Please read it carefully.

Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@rfid-flow.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

  • The arbitration will be conducted in Houston, Texas (or another mutually agreed location)
  • The arbitrator's award shall be final and binding
  • Judgment on the award may be entered in any court of competent jurisdiction
  • Each party shall bear its own costs; arbitration fees split equally

Class Action Waiver

You agree that any dispute resolution will be conducted only on an individual basis and not as a class, consolidated, or representative action. The arbitrator may not consolidate claims or preside over any form of class proceeding.

30-Day Opt-Out Right

You have the right to opt out of the arbitration clause and class action waiver within 30 days of creating your account. To opt out, send written notice to legal@rfid-flow.com with your name, email, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in state or federal courts in Harris County, Texas.

Termination

Termination by You

You may cancel as set out in your order form or pilot agreement. Cancellation takes effect at the end of the current billing period, and you retain access until then.

Termination by Us

We may suspend or terminate your access to the Service:

  • Immediately for violations of the Acceptable Use Policy or these Terms
  • With 30 days notice for non-payment or other material breach
  • With 90 days notice if we discontinue the Service

Effect of Termination

  • Data Export: You have 30 days after termination to export your data
  • Data Deletion: Customer Data is deleted within 90 days of termination
  • No Refund: No refund for unused portion of prepaid subscription
  • Surviving Terms: Sections on IP, Liability, Indemnification, and Disputes survive termination

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RFID Flow regarding the Service.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

Assignment

You may not assign these Terms without our consent. We may assign our rights to any successor in interest.

Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control (natural disasters, war, pandemic, etc.).

Notices

We will send notices to your account email address. Notices to us should be sent to legal@rfid-flow.com.

Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last updated" date at the top of this page
  • For material changes, we will provide at least 30 days notice via email
  • Your continued use of the Service after changes take effect constitutes acceptance
  • If you disagree with the changes, you may terminate your account

We encourage you to review these Terms periodically for any updates.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Subject to the arbitration provisions above, any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of such courts.
